Welcome to AiScalify. These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you (whether personally or on behalf of an entity) and AiScalify ("Company", "we", "us", or "our"), concerning your access to and use of the AiScalify B2B SaaS CRM platform, website, and related services.
By creating an account, paying for a subscription, or accessing our platform, you explicitly agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
1. Description of Service
AiScalify is a comprehensive B2B software-as-a-service platform offering WhatsApp automation, a Visual Kanban CRM, a Shared Team Inbox, Role-Based Access Control (RBAC), and bulk broadcast capabilities. The Service operates in conjunction with the Official WhatsApp Business API provided by Meta Platforms, Inc. We provide the software interface; Meta provides the messaging infrastructure.
2. Account Registration & Security
- Eligibility: You must be at least 18 years of age and representing a legitimate business entity to register.
- Account Responsibility: You are strictly responsible for maintaining the confidentiality of your account credentials. You are also legally and financially responsible for all actions taken by Agents, Branch Managers, or Admins that you invite to your tenant workspace.
- Accurate Information: You agree to provide true, accurate, and complete information regarding your business. Providing false information (especially regarding restricted industries) is grounds for immediate termination.
3. Acceptable Use & Strict Compliance
Because AiScalify integrates directly with Meta's official API, your use of our platform is heavily regulated. You explicitly agree to the following:
- Meta Policies: You must strictly adhere to the WhatsApp Business Messaging Policy (which covers both Commerce and Business guidelines).
- Mandatory Opt-in: You may only send WhatsApp messages (especially broadcast templates) to users who have explicitly opted-in to receive communications from your business. Purchasing lists or scraping numbers is strictly prohibited.
- Prohibited Industries: You may not use our platform if your business deals in illegal drugs, weapons, adult entertainment, unregulated gambling, or any other category banned by Meta.
- Spam: Using AiScalify to spam, harass, or deceive customers will result in an instant, non-refundable termination of your account and blacklisting of your API number.
4. Payment Terms, Billing & Subscriptions
Our platform's billing is processed securely via Cashfree:
- SaaS Subscriptions: Access to the AiScalify software (CRM, Flow Builder, Inbox) requires an active subscription, billed on a recurring basis (monthly, quarterly, or annually) in advance. All advertised subscription prices are inclusive of applicable taxes (such as GST).
- Direct Meta Billing: AiScalify charges 0% markup on WhatsApp messages. You must maintain a positive balance directly in your Meta/WhatsApp Business Manager wallet to pay Meta for API conversation charges. AiScalify does not collect or process money for your message usage.
- Refunds: For our comprehensive rules on refunds and cancellations, please refer to our Refund Policy, which is incorporated into these Terms by reference.
5. Intellectual Property Rights
- AiScalify Property: The platform, its source code, design, logos, AI algorithms, Flow Builder architecture, and documentation are the exclusive intellectual property of AiScalify. You may not copy, reverse-engineer, decompile, or resell the software without a formal partnership agreement.
- Your Property: You retain 100% ownership of the customer data, leads, custom templates, and chat histories you upload or generate within your tenant workspace.
6. Service Availability & SLA
We strive for 99.9% uptime. However, because our core functionality relies heavily on the WhatsApp Business API provided by Meta, we cannot guarantee uninterrupted service. AiScalify is not liable for message delivery failures, delays, or downtime caused by Meta API outages, internet service providers, or other force majeure events.
7. Limitation of Liability & Indemnification
To the maximum extent permitted by law, AiScalify and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising out of your access to or use of the service.
You agree to indemnify and hold harmless AiScalify against any claims, damages, liabilities, or legal fees arising from your violation of these Terms, your violation of Meta's policies, or your transmission of illegal/spam content.
8. Termination
You may terminate your account at any time via your billing dashboard. AiScalify reserves the right to suspend or terminate your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms or engage in spam activities. Upon termination, your right to use the Service will immediately cease.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal disputes arising out of these terms shall be subject to the exclusive jurisdiction of the courts located in Ghaziabad, Uttar Pradesh, India.
